“一带一路”综合服务能力建设系列首尔论坛之“一带一路”服务能力建设和金融支持论坛
2019年9月24日,由一带一路服务机制、中国产业海外发展协会、韩国仲裁学会、北京融商一带一路法律与商事服务中心共同主办,亚洲金融合作协会、中国民营经济国际合作商会、中非民间商会、中外友好国际交流中心、北京德恒律师事务所、意大利CBA律师事务所等单位共同支持的“一带一路”综合服务能力建设论坛在韩国首尔成功举办。来自中国、韩国、英国、美国、意大利、奥地利、巴西、印度、哈萨克斯坦、越南等国家的众多专家、学者、法官、仲裁员、调解员等法律专业人士150多名代表出席了本次会议。与会嘉宾围绕“一带一路”服务能力建设和金融支持、《新加坡调解公约》在各国的协作与执行、“一带一路”国际商事调解和调解员履职能力及“一带一路”法律与商事服务等分论坛议题进行了深入探讨。
“一带一路”服务机制主席、北京融商“一带一路”法律与商事服务中心暨“一带一路”国际商事调解中心主任王丽博士在开幕辞中表示,在韩国首尔这个充满年轻时尚活力的城市,在世界律师大会年会开之际,举办“一带一路”综合服务能力建设论坛。作为其中最大的一个边会,希望同世界各国专业人士一道,让共建“一带一路”走深走实,从法律与商事等层面服务各国人民。
王丽主任在随后的主旨演讲中她指出,当前“一带一路”倡议已经进入加快落实阶段。在“一带一路”项目的落地实施中,基础设施领域的投融资需求缺口巨大,沿线国家的贸易融资需求不断扩大,跨境人民币结算需求日益增大,单靠一个行业一个单位是无法解决我国企业“走出去”过程中遭遇的各种难题,迫切需要可以提供综合性专业服务的支撑体系以及全方位立体化的金融服务体系。
王丽主任还提出“一带一路”综合服务建设应秉持行之远、行之远、行之长、行之稳理念,与全球专业服务平台“共商”发起一带一路服务机制,“共建”一带一路国际商事调解中心,“共享”服务对接合作成果。践行“一带一路”倡议,“远”是基础,“深”是关键,“长”是目标。但归根结底,都要落在一个“稳”字上。“一带一路”综合服务平台建设要抓住金融和法律需求“痛点”,切实发挥机制成员的服务能力,扩展服务产品,打造服务平台,增强安全保障,推进“一带一路”综合服务建设取得实效。她表示,希望通过本次论坛来自不同国家的专业人士一起分享、讨论、评论,让这次会议能成为大家未来收获更深“一带一路”研究成果的一次指引。
韩国仲裁学会会长、韩中法律研究院院长,金容吉先生在致辞中也表示中国国家主席习近平在2013年提出了一带一路倡议,尤其是在一带一路原有的北线,西线,南线的基础上扩大到了向东区域,使得中韩两国的经济文化交流步入了新的历史发展时期。中韩两国的法律与商事服务建设也面临着新的机遇和挑战。但正是因为该机遇与挑战,使得韩国人民对一带一路倡议这条通向人类共同繁荣的康庄大道有了道路自信,机制自信,理论自信和人文自信。有着来自世界各国领导和专家共同研讨的理论,还有一带一路服务机制暨一带一路国际商事调解中心有将大家凝聚形成同谋发展、团结互助的号召力。相信“一带一路”倡议一定会发展得越来越好!

在黄俊女士的主旨演讲后,王丽主任带领与会专家:马健、黄俊、任炳翼、闫衍、王定林、贾辉就如何看待绿色金融和可持续发展原则在一带一路建设中的作用;如何看待环境和社会评估作为“一带一路”绿色金融重要原则的作用;认为什么样的环境和社会标准(国际还是国内,中国还是东道国等)应作为“一带一路”绿色金融的标准等问题进行了专家讨论。

此论坛的最后一个环节,与56位出席会议的各国代表共同签署了《“一带一路”绿色金融宣言》。附上《“一带一路”绿色金融原则宣言》内容如下:

Declaration on the Principles for “Belt and Road” Green Finance
序言Preamble
签署本宣言的各方(以下简称“各方”):
The undersigned parties (hereinafter referred to as the “Parties”) to this Declaration:
1)充分认识到“一带一路”倡议写入联合国大会第A/71/9号决议的重要性和深远意义;
1) Recognizing the importance and far-reaching significance of the inclusion of “Belt and Road Initiative” in the United Nations General Assembly Resolution A/71/9;
2)充分尊重多家国内和国际商会、协会、专业机构倡议并联合众多机构于2015年10月1日在意大利米兰发起设立的“一带一路服务机制(Belt and Road Service Connections, “BNRSC”)”,以及于2016年10月18日建立的北京融商“一带一路”法律与商事服务中心暨“一带一路国际商事调解中心”在线调解系统,通过线上线下促进商事调解;
2)Noting the initiative of various domestic and international commerce, association and professional firms to launch the “Belt and Road Service Connections (BNRSC)” on October 1, 2015 in Milan, Italy and on October 18, 2016, establish an online mediation system for Beijing Retio Legal and Commercial Service Center for Belt and Road Initiative & International Commercial Mediation Center for Belt and Road Initiative to promote commercial mediation through online and offline assistance;
3) 在充分协商一致的基础上,致力于实现本宣言中所述的愿景和理想。
3)Committed to pursue the vision and wishes as stated in the Declaration herein on the basis of full consensus.
兹共同商定并发表宣言如下:

第一条 支持可持续性发展原则和绿色金融,以支持“一带一路”建设。
Article 1 The Parties support the principle of sustainable development and green finance to support the construction of the Belt and Road.
第二条 关注在“一带一路”沿线国家的投资经营活动对气候、环境和社会方面的潜在影响,了解东道国相关社会文化环境标准、法律法规,将环境、社会和治理(ESG)因素纳入决策过程,开展深度环境和社会尽职调查,必要时,在第三方机构的支持下制定风险防范与管理方案。
Article 2 The Parties concern about the potential impacts on climate, environment and society of the investment and business operation activities in countries along the Belt and Road, understand the relevant social and cultural environmental standards, laws and regulations of the host country, and incorporate Environmental, Social and Governance (ESG) factors into the decision-making process, conduct in-depth environmental and social due diligence and, if necessary, develop risk prevention and management plans with the support of third-party agencies.
第三条 支持一带一路服务机制在“一带一路”绿色金融中的重要作用,持续推动本原则在其成员机构和其他相关机构中的适用和落实。
Article 3 The Parties recognize and support the important role of the BNRSC in the Belt and Road green finance, and continue to promote the application and implementation of this Principle in its member institutions and other relevant institutions.
第四条 承认和支持“一带一路”绿色金融应适用如下重要原则:
Article 4 The Parties recognize and support the following principles of green finance for Belt and Road construction:
4.1 审查和分类
4.1 Review and Categorization
当某项目拟进行融资时,BNRFI将按照该项目对环境和社会的潜在风险和影响的程度进行分类,并作为内部环境、社会审查以及尽职调查的一部分。
When a project is proposed for financing, the Financial Institutions under the Belt and Road Initiative (“BNRFI”) will, as part of its internal environmental and social review and due diligence, categories it based on the magnitude of its potential environmental and social risks and impacts.
通过分类,BNRFI应根据项目的性质、规模和阶段,及其对环境、社会风险和影响程度,进行环境和社会尽职调查。
By categorization, the BNRFI shall conduct the environmental and social due diligence which will be commensurate with the nature, scale and stage of the project, and with the level of environmental and social risks and impacts.
4.2 环境和社会评估
4.2 Environmental and Social Assessment
BNRFI将要求客户,在令BNRFI满意的程度内,针对拟议项目的相关环境、社会风险以及影响开展评估。该评估文件应提出尽可能减少、减轻和抵消不利影响的措施,前述措施应与拟议项目的性质、规模有关且相适应。
The BNRFI will require the client to conduct an assessment process to address, to the BNRFI’s satisfaction, the relevant environmental and social risks and impacts of the proposed project. The assessment documentation should propose measures to minimise, mitigate, and offset adverse impacts in a manner relevant and appropriate to the nature and scale of the proposed project.
4.3 适用的环境和社会标准
4.3 Applicable Environmental and Social Standards
评估活动应首先符合东道国环境、社会问题相关的法律、法规及许可方面的要求。
The assessment process should, in the first instance, address compliance with relevant host country laws, regulations and permits that pertain to environmental and social issues.
BNRFI可要求评估活动对项目是否遵守适用的国际标准做出评价,包括赤道原则、绿色债券原则和气候债券标准。
The BNRFI may require that the assessment process evaluates whether the project is in compliance with the applicable international standards, including the Equator Principles, the Green Bond Principles, and the Climate Bond Initiative Taxonomy Definitions.
评估活动应,在令BNRFI满意的程度内,使项目总体符合或合理偏离适用标准。适用标准(如上所述)系BNRFI采用的最低标准。BNRFI可自行决定是否适用其他要求。
The assessment process will establish, to the BNRFI’s satisfaction, the project's overall compliance with, or justified deviation from, the applicable standards. The applicable standards (as described above) represent the minimum standards adopted by the BNRFI. The BNRFI may, at their sole discretion, apply additional requirements.
4.4 利益相关方的参与
4.4 Stakeholder Engagement
BNRFI将要求客户与受影响的社区以及相关的其他利益相关方一道,以一种结构化的、与文化相适应的方式,将有效的利益相关方参与作为一个持续的过程进行展示。客户应使其协商过程与下列因素相适应:项目的风险和影响;项目的发展阶段;受影响社区的语言偏好;他们的决策流程;以及弱势群体的需求。协商过程不应受外部操纵、干涉、胁迫和恐吓。
The BNRFI will require the client to demonstrate effective stakeholder engagement as an ongoing process in a structured and culturally appropriate manner with affected communities and, where relevant, other stakeholders. The client will tailor its consultation process to: the risks and impacts of the project; the project’s phase of development; the language preferences of the affected communities; their decision-making processes; and the needs of disadvantaged and vulnerable groups. This process should be free from external manipulation, interference, coercion and intimidation.
4.5 独立审查、监督和报告
4.5 Independent Review, Monitoring and Reporting
为评估项目是否遵守本原则并确保持续监督和报告,BNRFI将聘请一名独立的环境和社会顾问,或要求客户聘请合格且经验丰富的外部专家来协助BNRFI进行尽职调查及合规性评估,并核实其将与BNRFI共享的监测信息。
To assess whether the project is in compliance with the Principles herein and ensure ongoing monitoring and reporting, the BNRFI will retain an independent environmental and social consultant, or require that the client retain qualified and experienced external experts to assist the BNRFI's due diligence, assess compliance, and verify its monitoring information which would be shared with the BNRFI.
第五条 通过多方国际合作促进“一带一路”绿色金融能力建设,主动与多边国际组织、研究机构和智库开展合作,努力提升在政策执行、系统构建、工具开发以及其他本宣言所涉及领域的专业能力,包括但不限于绿色信贷、绿色基金、绿色保险、绿色投资、开发性金融和风险对冲性金融工具。
Article 5 The Parties will promote their capacity of green finance for the Belt and Road Initiative through multilateral international cooperation, actively cooperate with multilateral international organizations, research institutions and think tanks, and strive to improve professional capacity in policy implementation, system construction, tool development and other areas covered by this Declaration, including without limitation, green loan, green fund, green insurance, green investment, development finance and risk hedge financial instruments.
第六条 承认和支持在国际投资和贸易、融资等商事协议中适用如下示范性调解条款:
Article 6 The Parties recognize and support the following model mediation clause applicable in commercial agreements related to international investment, trade and financing:
“本合同各方一致同意将因本合同产生或与本合同有关的任何争议或分歧,先行提交一带一路国际商事调解中心并按其当时所实行的调解规则调解,且该调解规则自动并入本条款。”
“The parties hereby agree that any dispute or difference arising from or in connection with this contract shall firstly be submitted to the International Commercial Mediation Center for the Belt & Road for seeking settlement by mediation in accordance with its then effective mediation rules, which are to be automatically incorporated into this clause."
第七条 一带一路服务机制的新成员应遵守本宣言的规定并受其约束。
Article 7 Any new member of the Belt and Road Service Connections shall comply with and be bound by the terms of this Declaration.
本宣言由各方于2019年9月24日在韩国首尔创立,并自签署日起适用于各方。
This Declaration is made by the Parties on September 24, 2019 in Seoul, South Korea, and shall be applicable to the Parties as of the signing date.
